Terms of Service

1.   INTRODUCTION

These Terms of Service ("Terms") govern your use of the website located at https://www.womenonstage.net (the “Site”) and any related services provided by Women Tech Speakers Ltd. ("WOS", "we" or "us").

2.  Definitions

"Site" means the website located at https://www.womenonstage.net/ and all associated webpages and subdomains.

​

"Services" means all services, Events, and features offered on the Site.

​

“Event” means any event held by WOS, whether live or via virtual means, such as courses, conferences (“Course”, “Conference”), speaking events, meetups, webinars, podcasts, etc. 

​

"User", "you" and "your" means any visitor that accesses or uses the Site.
 

"Order" means any order of a product or a service offered on the Site, or purchases of a subscription for access to content on the Site and the like.

3.  Acceptance of the Terms

a.     By entering, connecting to, accessing or using the Site, you acknowledge that you have read and understood the following terms of use, including the terms of our Privacy Policy available here (collectively, the “Terms”) and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Site and you acknowledge that these Terms constitute a binding and enforceable legal contract between WOS and you.

b.     IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER TO, CONNECT TO, ACCESS OR USE THE SITE IN ANY MANNER.

c.     The Site is available only to individuals who (a) are at least sixteen (16) years old; and (b) possess the legal capacity to enter into these Terms (on behalf of themselves and their organization, as applicable) and to form a binding agreement under any applicable law.

d.     You hereby represent that you possess the legal authority to enter into these Terms on your and your organization's behalf and to form a binding agreement under any applicable law, to use the Site in accordance with these Terms, and to fully perform your obligations hereunder. 

​

e.     For the avoidance of doubt, any act or omission performed by you in connection with the Site shall obligate your organization.

​

f.      We may change these Terms at any time by updating this page of the Website, and your continued use of the Website following such an update will represent an agreement by you to be bound by the Terms as amended.

4.  Account Registration

 

You may need to create an account to access certain features. You agree to provide accurate information during registration and to keep your login credentials secure. WOS is not liable for any unauthorized access to your account.

​

5.  Speakers

a.     You may use the Site’s search engine to find a Speaker, or several Speakers, with specialty in a particular field (“Speaker”). General information about the Speaker, her experience and potential speaking topics will appear on the Site. 

​

b.     You may send requests for lectures to Speakers that appear on the Site. The Speakers may or may not respond to your requests. 

​

c.     WOS IS NOT THE EMPLOYER OF THE SPEAKERS, DOES NOT ENDORSE OR SPONSOR ANY SPEAKERS, AND HAS NO RESPONSIBILITY WITH RESPECT TO THE SPEAKERS. SIMILARLY, WOS IS NOT RESPONSIBLE FOR ANY CONTENT OR MATERIALS OF THE SPEAKERS. THE ENGAGEMENT BETWEEN ORGANIZATIONS AND SPEAKERS IS AT THEIR OWN RISK AND RESPONSIBILITY.

d.     We reserve the right to charge a commission for facilitating connection between Speakers and entities.

6.  Looking for an opportunity to speak? 

a.     As a Speaker, you may use the Site to find speaking opportunities. Entities interested in your lectures may contact you, but you have no obligation to accept their offers. You will be able to build a profile by providing us with the information detailed in our Privacy Policy.

​

b.     WOS DOES NOT ENDORSE OR SPONSOR ANY ENTITY OR ORGANIZATION, NOR CAN WOS ENSURE THAT YOU WILL FIND SPEAKING OPPORTUNITIES. THE ENGAGEMENT BETWEEN ORGANIZATIONS AND SPEAKERS IS AT THEIR OWN RISK AND RESPONSIBILITY.

c.     We reserve the right to charge a commission for facilitating connection between Speakers and entities.

7.  Courses

Participation Subscription

a.     You may register on the Site to Events such as Courses and Conferences, that are held or administered by WOS. Information pertaining to each such Course will appear on its respective page. 

​

b.     WOS retains sole discretion over Course agendas, materials, and Speakers. You agree to abide by any applicable rules, codes of conduct, or other guidelines provided by WOS.

​

c.     We reserve the right to accept or reject your Order for any reason. Once you have submitted an Order, it will be deemed accepted when we send you a confirmation email (Booking Confirmation).

​

d.     To participate in Course, you shall pay to WOS, a one-time participation fee according to the Course's respective page. The Fee shall be paid directly to WOS prior to the Course commencement date (the “Start Date”) and as a condition for the Participant’s participation in the Course. 

​

e.    WOS reserves the right (but is not obligated) to provide discounts for early registrations. The Fee is non-refundable, unless (i) WOS decides (at its sole discretion) to cancel the Event, or (iii) the Entity elects to cancel its Participant’s participation in the Event, provided that a notice thereof is provided to WOS at least two (2) weeks prior to the Start Date.

8.   Payment

a.    Events can be registered and paid for directly on the website. Payment methods are credit card, PayPal or bank transfer.


b.    All prices are: (i) per unit (except where otherwise indicated); and (ii) subject to change prior to you completing an Order without notice. Applicable taxes will be charged in accordance with applicable law. VAT will be added to payments where required by law.


c.    Online payment partner: We may use third-party payment providers (Payment Providers) to collect payments for Products. The processing of payments by the Payment Provider will be, in addition to these terms, subject to the terms, conditions and privacy policies of the Payment Provider and we are not liable for the security or performance of the Payment Provider. 


d.   We reserve the right to correct, or to instruct our Payment Provider to correct, any errors or mistakes in collecting your.

9.  Consumer Protection Law

a.     For consumers purchasing Event participation or other paid services from WOS, the following cancellation and refund policy shall apply in accordance with Israeli consumer protection laws.

​

b.    WOS engages solely in the sale of services and products for business and commercial use. The Consumer Protection Law shall not apply if the purchaser is not a "consumer" as defined by law.

​

c.     Cancellation terms will be as specified in these Terms of Service or in the purchase agreement.

​

d.    Transactions with "consumers" may be considered "distance sales" and subject to the Consumer Protection Law.

​

e.     Purchases of pre-recorded online material cannot be canceled after purchase.

​

f.      In the event of cancellation by a consumer (as defined in the Israeli consumer protection laws) for reasons other than a defect or mismatch, a cancellation fee of 5% of the amount paid or 100 NIS, whichever is lower, will be deducted.

g.     Cancellation by a consumer will be done by written notice to contact@womenonstage.net­­­­­­­­­­­­­­­­­­­­­­­­­­­­­, specifying the transaction details.

​

h.     Monetary refunds to consumers will be made no later than 14 business days after receiving the cancellation notice.

​

i.      WOS reserves the right to cancel a transaction in certain cases.

​

11.  Are you participating in one of our Events? 

a.     WOS may share the content of any of its Events via the Site at its discretion. Some of this content will be available only to participants who registered to an Event such as Conferences or Courses (“Participants”). Other content may be made generally available on the Site to all of its Users.

​

b.     If you have any questions about your Event in which you are a Participant, feel free to contact us at contact@womenonstage.net.

​

c.    As a Participant, you are required to abide by our “Participant Code of Conduct” below.

​

d.     Community Participation - WOS may provide Participants opportunities to communicate and interact with each other through discussion forums, chat groups, social media groups or other platforms. When participating in any WOS community, you agree to abide with these terms and conditions and to communicate respectfully and refrain from any abusive, offensive or illegal behavior.

​

e.     WOS reserves the right to remove any participant from community platforms who violates these expectations in its sole discretion. WOS also reserves the right to edit or remove any posts or content that it deems inappropriate or offensive without notice.

​

f.      Participants are solely responsible for the content they post on WOS community platforms. WOS is not responsible or liable for any loss or damage caused by content posted by participants.

​

Would you like to receive information about WOS, or its Events on a periodic basis? If so, you may subscribe to our mailing list here.

13. Our Content

a.     The Site also provides information regarding Events, products and services (including their professional content) and includes, inter-alia, an overview of, and news regarding WOS, our sponsors, services, and so forth, including any other content related thereto such as contact information, videos, text, files, logos, button icons, images, data compilations, links, other specialized content, technical data, documentation, know-how, specifications materials, designs, data, the "look and feel" of the Site, algorithms, source and object code, interface, GUI, interactive features related graphics, illustrations, drawings, animations, and other features obtained from or through the Site (collectively, the “Content”).

b.     ALL RIGHTS IN AND TO THE CONTENT (AS DEFINED ABOVE) ARE RESERVED TO WOS OR ITS LICENSORS. TO THE EXTENT LEGALLY PERMISSIBLE, THE SITE AND THE CONTENT ARE PROVIDED ON AN “AS IS” BASIS. WOS WILL NOT BE LIABLE FOR ANY DAMAGES OR LOSS INCURRED TO YOU OR ANY OTHER PERSON AS A RESULT OF OR IN CONNECTION WITH YOUR USE OF THE SITE AND/OR THE CONTENT. 
YOUR USE OF THE SITE AND/OR CONTENT AVAILABLE THEREIN IS ENTIRELY AT YOUR OWN RISK.

c.     WOS DOES NOT PROVIDE ANY EXPRESS OR IMPLIED WARRANTIES WITH RESPECT TO ANY EVENT AND ITS CONTENT. WITHOUT PREJUDICE TO THE FOREGOING, IN NO WAY DO WE GUARANTEE ANY ACADEMIC OR PROFESSIONAL OUTCOME, OR THAT THE CONTENT OF THE EVENT ARE EXHAUSTIVE IN THE RELEVANT SUBJECT MATTER, OR WILL MEET YOUR EXPECTATIONS.

d.     ANY ENGAGEMENT BY YOU WITH SUPPLIERS, SERVICE PROVIDERS OR ENTITIES THAT MAY BE FACILITATED VIA THE SITE IS AT YOUR SOLE RESPONSIBILITY.

e.     You hereby acknowledge and agree that you may be charged for Internet, maintenance of network connection and data usage charges made through use of the Site, according to the applicable rates charged by your respective third party Internet and data usage service provider as may be from time to time.

14.   Speaker Content shared with WOS

a.     Speaker Content. To the extent you are a Speaker, you may submit materials, videos, lectures, or other content in connection with your profile (collectively, “Your Speaker Content”). Your Speaker Content must not violate applicable local or national laws or regulations of your country (including, without limitation, applicable intellectual property rights or privacy rights of others). You are solely responsible for Your Speaker Content and the outcome of its publication or dissemination. We reserve the right to remove or block access (without notice), to any of Your Speaker Content if we have any reasonable ground to believe that Your Speaker Content violates applicable law and/or the rights of others.

b.     Our use of Your Speaker Content. By delivering, submitting, or posting Your Speaker Content, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Speaker Content (including your name and image) in any and all media or distribution methods (existing now or later developed). This includes making Your Speaker Content available to other companies, organizations, or individuals who partner with WOS for the syndication, broadcast, distribution, or publication of content on other media, as well as using Your Speaker Content for marketing purposes.

c.     You also waive any rights of privacy, publicity, or other rights of a similar nature applicable to all these uses, to the extent permissible under applicable law. You represent and warrant that you have all the rights, power, and authority necessary to authorize us to use Your Speaker Content. You also agree to all such uses of Your Speaker Content with no compensation paid to you.

15.   Consent by a participant of an Event for the Use of Name, Biographical Details, Photos, and/or Video

a.    To the extent you are a participant of an Event held by us, You hereby grant us the permission to photograph and/or record any activities in which you participate in (hereinafter referred to as "Recordings"), and to use these Recordings, in whole or in part, including for our promotional and marketing purposes, without any obligation to pay any form of royalties, compensation or remuneration.
b.    You acknowledge that these Recordings may be utilized in various ways, including but not limited to our websites or social media platforms.
c.    You irrevocably waive any right that you may have in connection with the Recordings, including, without limitation, any copyright, right to privacy, or moral rights.

16.  Administration of Events

a.     Subscription and Payment. You or your organization must pay the applicable Event participation fees prior to its commencement. If the Event is free of charge, you must sign-up to it prior to its commencement. Additional information in this regard may appear on the applicable Event page, or the agreement between your organization and WOS.

​

b.     WOS Prerogative. WOS will be solely responsible for selecting the Event agenda, including its content, merchandise, mentors, Speakers and any other managerial decisions pertaining to an Event. Neither the Participant, nor its organization (as applicable), shall have any decision-making rights in connection with the foregoing.

​

c.     Event Changes. The syllabus of an Event (if applicable) is available on its respective page; and is subject to changes at the sole discretion of WOS. The Participant hereby waives any claims in connection with such changes.

​

d.     Graduation. If applicable, the Participant’s successful completion of an Event (such as a Course or a Conference) is subject to the following terms:

  • completion of all tasks, assignments, and requirements.

  • compliance with the Participant Code of Conduct. 

​

e.     Admission Policy. WOS reserves the right to accept or refuse admission to any of its Events (whether as Participants or audience) at its sole discretion. WOS makes no guarantees or commitments to accept any particular applicant. The criteria for admission may include factors such as availability, eligibility requirements, suitability, and other considerations as determined by WOS.

17.  Participant Code of Conduct

a.     As a Participant, you represent and warrant that you will abide by the following rules and guidelines. WOS reserves the right to change, amend or modify this Participant Code of Conduct at any time.

​

b.     Respecting other Participants. You represent and warrant you will respect the dignity of other Participants, mentors and/or instructors that may be involved in our Events. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to your conduct, or the conduct of other Participants, mentors or instructors.

​

c.     Respecting the Venue. In the case of in-person Events, you are requested to maintain the equipment of the classrooms or any other venue in which the Event takes place in good working order.

​

d.     Respecting Intellectual Property Rights. Any Content that we may provide or make accessible to you (whether on the Site, in connection with any Event or otherwise) is owned by WOS or third parties; and therefore may be used by you only for your own, personal, non-commercial, educational purposes. All other uses are strictly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any Content unless we give you explicit permission to do so in a written agreement signed by a WOS authorized representative.

e.     Your Submissions. To the extent you are required to submit any materials, assignments, reports, “homework”, videos, lectures, or other content for an Event in which you are a Participant (collectively, “Your Submissions”), they must not violate applicable local or national laws or regulations of your country (including, without limitation, applicable intellectual property rights or privacy rights of others). You are solely responsible for Your Submissions and the outcome of its dissemination. We reserve the right to remove or block access (without notice), to any of Your Submissions if we have any reasonable ground to believe that Your Submission violates applicable law and/or the rights of others. Any Content that we may provide or make accessible to you (whether on the Site, in connection with any Event or otherwise) is owned by WOS or third parties.

f.      Our use of Your Submissions. By delivering, submitting or posting Your Submissions, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Submissions (including your name and image) in any and all media or distribution methods (existing now or later developed). You represent and warrant that you have all the rights, power, and authority necessary to authorize us to use any Submissions that you submit. You also agree to all such uses of Your Submissions with no compensation paid to you.

g.     Responsible Sharing of Personal Information. When you interact directly with another Participant, a mentor or an instructor, you must be careful about the types of personal information that you share. We do not control what these recipients do with the information they obtain from you. You should limit the sharing of personal information as much as possible. Without prejudice to the foregoing, you represent and warrant that Your Submissions will not include trade secrets or confidential information.

h.     Respecting our Reputation. You hereby represent and warrant that you will not identify yourself or your organization as the organizer, facilitator, partner and/or exclusive sponsor of an Event without obtaining the prior written consent of WOS. A breach of this representation constitutes a material breach of these Terms. WOS wishes to avoid confusion in the industry with respect to the origin and organization of the Event and reserves the right to provide reasonable instructions or guidelines in this respect. For the avoidance of doubt, you remain fully responsible for the consequences of any marketing and promotion activities made by you or on behalf of your organization.

i.    When participating in any WOS activity or event, you agree not to misuse access to other participants or speakers for commercial or marketing purposes without obtaining our express prior consent. It is prohibited to send unsolicited promotional, marketing, or commercial content, or to exploit the platform to recruit or persuade other participants for external purposes.

​

18.  Use Restrictions

a.     There are certain conducts which are strictly prohibited when using the Site. Please read the following restrictions carefully. Failure to comply with any of the provisions set forth herein may result (at WOS’s sole discretion) in the termination of your use of the Site and/or Content and may also expose you to civil and/or criminal liability.

​

b.     Unless otherwise explicitly permitted under these Terms or in writing by WOS, you may not (and you may not permit anyone to): (a) use the Site and/or the Content for any illegal, immoral, unlawful and/or unauthorized purposes; (b) use the Site and/or Content for non-personal or commercial purposes; (c) remove or disassociate, from the Content and/or the Site any restrictions and signs indicating proprietary rights of WOS or its licensors, including but not limited to any proprietary notices contained in such materials (such as ©,™, or ®); (d) interfere with or violate Users' rights to privacy and other rights, or harvest or collect personally identifiable information about Users without their express consent, whether manually or with the use of any robot, spider, crawler, any search or retrieval application, or use other manual or automatic device, process or method to access the Site and retrieve, index and/or data-mine information; (e) interfere with or disrupt the operation of the Site or the servers or networks that host the Site, or disobey any laws, regulations, requirements, procedures, or policies of such servers or networks; (f) falsely state or otherwise misrepresent your affiliation with any person or entity, or express or imply that WOS endorses you, your site, your business or any statement you make, or present false or inaccurate information about the Site; (g) take any action that imposes, or may impose, an unreasonable or disproportionately large load on our platform infrastructure, as determined by us; (h) bypass any measures we may use to prevent or restrict access to the Site; (i) copy, modify, alter, adapt, make available, translate, port, reverse engineer, decompile, or disassemble any portion of the Content made accessible by WOS on or through the Site, or publicly display, reproduce, create derivative works from, perform, distribute, or otherwise use such Content; (j) copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sublicense, make any commercial use, sell, rent, transfer, lend, process, compile, reverse engineer, combine with other software, translate, modify or create derivative works of any material that is subject to WOS's proprietary rights, including WOS's Intellectual Property (as such term is defined below), in any way or by any means; (k) make any use of the Content on any other site or networked computer environment for any purpose without WOS's prior written consent; (l) create a browser or border environment around WOS Content (no frames or inline linking is allowed); (m) sell, license, or exploit for any commercial purposes any use of or access to the Site and/or the Content; (n) frame or mirror any part of the Site without WOS's prior express written authorization; (o) create a database by systematically downloading and storing all or any of the Content from the Site; (p) transmit or otherwise make available in connection with the Site any virus, worm, Trojan Horse, time bomb, web bug, spyware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component; (q) use the Site for any purpose for which the Site is not intended; and/or (r) infringe and/or violate any of the Terms. (s) You are prohibited from collecting, data mining, harvesting, or otherwise gathering personal information or contact details of other users from the Site, including speakers, without their express consent, for the purpose of contacting them or sending them marketing or commercial content.

c.    Fair Use When using the Site and the various services offered, you commit to acting fairly, honestly, and in good faith. The Site and the information displayed therein must not be exploited to create commercial engagements with other users outside of the platform, in an attempt to circumvent its limitations. It is strictly forbidden to send marketing or commercial content to speakers or other users who have not given their explicit consent, and it is prohibited to create databases and contact lists collected from the Site without our permission. Any use of the Site is for personal purposes only, and the information must not be used for external commercial purposes that may harm the proper functioning of the Site, its reputation, or the interests of other users. Furthermore, it is strictly prohibited to make offers to speakers that require them to pay, as this is not the purpose of the Site. Speakers should not be approached with paid opportunities or solicitations.

19.  Privacy and Policy

a.     We respect your privacy and are committed to protect the information you share with us. We believe that you have a right to know our practices regarding the information we collect when you connect to, access or use the Site.

​

b.     Our policy and practices and the type of information collected via the Site are described in detail in our Privacy Policy, which is incorporated herein by reference. You agree that WOS may use personal information that you provide or make available to WOS in accordance with the Privacy Policy. If you intend to access or use the Site you must first read and agree to the Privacy Policy. 

 

 

20.  Intellectual Property Rights

a.     The Site, the Content and WOS's proprietary assets and any and all intellectual property rights pertaining thereto, including, but not limited to, inventions, patents and patent applications, trademarks, trade names, service marks, copyrightable materials, domain names and trade secrets, whether or not registered or capable of being registered (collectively, “Intellectual Property''), are owned by and/or licensed to WOS and are protected by applicable patent, copyright and other intellectual property laws and international conventions and treaties. All rights not expressly granted to you hereunder are reserved by WOS and its licensors.

b.     The Terms do not convey to you an interest in or to WOS's Intellectual Property but only a limited revocable right of use in accordance with the Terms. Nothing in the Terms constitutes a waiver of WOS’s Intellectual Property under any law.

c.    To the extent you provide any feedbacks, comments or suggestions to WOS (“Feedback”), WOS shall have an exclusive, royalty-free, fully paid up, worldwide, perpetual and irrevocable license to incorporate the Feedback into any WOS current or future services and/or activities and use same for any purpose all without further compensation to you and without your approval. You agree that all such Feedback shall be deemed to be non-confidential. Further, you warrant that your Feedback is not subject to any license terms that would purport to require WOS to comply with any additional obligations with respect to any WOS current or future products, technologies or services that incorporate any Feedback.

21.  Trademarks and Trade names

a.     WOS’s marks and logos and all other proprietary identifiers used by WOS in connection with the Site (“WOS's Trademarks”) are all trademarks and/or trade names of WOS, whether or not registered.

b.     All other trademarks, service marks, trade names and logos which may appear on the Site belong to their respective owners (“Third Party Marks”). No right, license, or interest to WOS's Trademarks and the Third Party Marks is granted hereunder, and you agree that no such right, license, or interest may be asserted by you with respect thereto and therefore you will avoid using any of those marks, except as permitted herein.

22.  Linking to WOS's Site and links to Third Party Sites 

a.     We welcome links to any page on our Site. You are free to establish a hypertext link to the Site so long as the link does not state or imply any connection or approval of your website, products and/or services by WOS and does not portray WOS in a false or otherwise offensive manner. You may not link to our Site from a site that you do not own or have permission to use. In the event that you link to the Site you represent that your site does not contain content that is unlawful, offensive or infringing third party rights. However, we do not permit framing or inline linking.

b.     Certain links provided herein permit our Users to leave this Site and enter non-WOS sites or services. Those linked sites and services are provided solely as a convenience to you. These linked sites and services are not under the control of WOS and it is not responsible for the availability of such external sites or services, and does not endorse and is not responsible or liable for any content including but not limited to content advertising, products or other information on or available from such linked sites and services or any link contained in linked sites or service. In addition, WOS is not responsible or liable for such linked sites and services' privacy practices and/or any other practices. Your access to, use of and reliance upon any such sites, services and content and your dealings with such third parties are at your sole risk and expense. WOS reserves the right to terminate any link at any time. You further acknowledge and agree that WOS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused, by or in connection with use of or reliance on any services, content, products or other materials available on or through such linked sites or resource. Most of such linked sites and services provide legal documents, including terms of use and privacy policy, governing the use thereof. It is always advisable, and we encourage you to read such documents carefully before using those sites and services, inter alia, in order to know what kind of information about you is being collected.

23.  Availability 

a.     The Site’s availability and functionality depends on various factors, such as communication networks. WOS does not warrant or guarantee that the Site will operate and/or be available at all times without disruption or interruption, or that it will be immune from unauthorized access or error-free.

24.  Changes to the Site

a.     WOS reserves the right to modify, correct, amend, enhance, improve, make any other changes to, or discontinue, temporarily or permanently this Site (or any part thereof, including but not limited to the Content) without notice, at any time.

b.     In addition, you hereby acknowledge that the Content provided under this Site may be changed, extended in terms of content and form or removed at any time without any notice to you.

c.     You agree that WOS shall not be liable to you or to any third party for any modification, suspension, or discontinuance of this Site or the Content included therein. You hereby agree that WOS is not responsible for any errors or malfunctions that may occur in connection with the performance of such changes.

25.  Disclaimers and No Warranties

a.     TO THE FULLEST EXTENT LEGALLY PERMISSIBLE, THE SITE AND CONTENT ARE PROVIDED ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS, AND WOS, INCLUDING ITS VENDORS, OFFICERS, SHAREHOLDERS, SUB-CONTRACTORS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, LICENSORS, AGENTS AND SUPPLIERS (COLLECTIVELY, "WOS'S REPRESENTATIVES"), DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTIES OF USE OR FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

b.     YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS THAT THIS AGREEMENT CANNOT CHANGE. WOS AND WOS'S REPRESENTATIVES DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE USE OF THE SITE, INCLUDING BUT NOT LIMITED TO THE AVAILABILITY, RELIABILITY OR THE QUALITY OF THE SITE, AND ARE NOT AND SHALL NOT BE RESPONSIBLE FOR ANY ERROR, FAULT OR MISTAKE RELATED TO ANY CONTENT AND/OR INFORMATION DISPLAYED WITHIN THE SITE.

c.    INASMUCH AS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSIONS OR LIMITATIONS AS SET FORTH HEREIN, THE FULL EXTENT OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY

26.  Limitation of Liability

a.     TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, IN NO EVENT SHALL WOS, INCLUDING WOS'S REPRESENTATIVES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, CONTRACT, NEGLIGENCE, TORT OR STRICT LIABILITY), INCLUDING, WITHOUT LIMITATION, LOSS OF GOODWILL, PROFITS OR DATA AND BUSINESS INTERRUPTION, ARISING HEREUNDER, RESULTING FROM OR ARISING OUT OF THE SITE AND/OR THE CONTENT ANY COMMUNICATIONS AND INTERACTIONS OR MEETINGS WITH USERS OF THE SITE OR OTHER PERSONS WITH WHOM YOU COMMUNICATE AS A RESULT OF YOUR USE OF THE SITE AND/OR THE CONTENT.

b.     YOUR USE OR INABILITY TO USE THE SITE AND/OR THE CONTENT AND/OR THE FAILURE OF THE SITE TO PERFORM AS REPRESENTED OR EXPECTED, OR FROM ANY CONTENT, OR FROM THE PERFORMANCE OR FAILURE OF WOS TO PERFORM UNDER THESE TERMS, ANY OTHER ACT OR OMISSION OF WOS OR WOS'S REPRESENTATIVES BY ANY OTHER CAUSE WHATSOEVER; OR BASED UPON BREACH OF WARRANTY, GUARANTEE OR CONDITION, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR ANY OTHER LEGAL THEORY, REGARDLESS OF WHETHER WOS OR WOS'S REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

c.     IN ANY CASE, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, WOS'S AND WOS'S REPRESENTATIVES' TOTAL AGGREGATE LIABILITY FOR ALL DAMAGES OR LOSSES WHATSOEVER ARISING HEREUNDER OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE AND/OR THE CONTENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU, IF ANY, TO WOS FOR USE OF THE SITE OR $US 1.00, WHICHEVER IS GREATER. YOU WILL NOT, AND WAIVE ANY RIGHT TO, SEEK TO RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES FROM US AND FROMWOS’S REPRESENTATIVES.

27.  Indemnification 

a.     You agree to defend, indemnify and hold harmless WOS, including WOS's Representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: (i) your use, misuse of, inability to use and/or activities in connection with the Site and/or Content; (ii) your violation of any of these Terms; (iii) your violation of any third party rights, including without limitation any intellectual property rights or privacy right of such third party; (iv) Your Submissions; (v) Your Speaker Content; and (vi) any damage of any sort, whether direct, indirect, special or consequential, you may cause to any third party with relation to the Site, or any Event. It is hereby clarified that this defense and indemnification obligation will survive these Terms.

b.     Without derogating from the foregoing, we reserve the right to assume the exclusive defense and control of any matter which is subject to indemnification by you, which will not excuse your indemnity obligations hereunder and in which event you will fully cooperate with us in asserting any available defense. You agree not to settle any matter subject to an indemnification by you without first obtaining our prior express written approval.

28.  Amendments to the Terms 

a.     WOS may, at its sole discretion, change the Terms from time to time, including any other policies incorporated thereto, so please re-visit this page frequently.

b.     In case of any material change, we will make reasonable efforts to post a clear notice on the Site and/or will send you an e-mail (to the extent that you provided us with such e-mail address) regarding such change. Such material changes will take effect seven (7) days after such notice was provided on our Site or sent via e-mail, whichever is the earlier. Otherwise, all other changes to these Terms are effective as of the stated “Last Revised” date and your continued use of the Site on or after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes. In the event that the Terms should be amended to comply with any legal requirements, the amendments may take effect immediately, or as required by the law and without any prior notice.

29.  Termination of these Terms and the Termination of the Site's operation 

a.     At any time, WOS may without notice discontinue your use of the Site, at its sole discretion, in addition to any other remedies that may be available to WOS under any applicable law.

b.     Additionally, WOS may at any time, at its sole discretion, cease the operation of the Site or any part thereof, temporarily or permanently, delete any information or Content from the Site or correct, modify, amend, enhance, improve and make any other changes thereto or discontinue displaying or providing any information, Content or features therein without giving any prior notice.

c.     You agree and acknowledge that WOS does not assume any responsibility with respect to, or in connection with the termination of the Site's operation and loss of any data. The provisions of these Terms that, by their nature and content, must survive the termination of these Terms in order to achieve the fundamental purposes of these Terms shall so survive. Without limiting the generality of the forgoing, the Intellectual Property, Disclaimers and No Warranties, Limitation of Liability, Indemnification and General sections will survive the termination of the Terms.

30.  General 

a.     These Terms constitute the entire terms and conditions between you and WOS relating to the subject matter herein and supersedes any and all prior written or oral agreements or understandings between you and WOS.

​

b.     Any claim relating to the Site or the use thereof will be governed by and interpreted in accordance with the laws of the State of Israel without reference to its conflict-of-laws principles and the United Nations Convention Relating to a Uniform Law on the International Sale of Goods may not be applied.

​

c.     Any dispute arising out of or related to the Site will be brought in, and you hereby consent to exclusive jurisdiction and venue in, the competent courts located in the city of Tel-Aviv, Israel.

​

d.     You agree to waive all defenses of lack of personal jurisdiction and forum non-convenience and agree that process may be served in a manner authorized by applicable law or court rule.

e.     Notwithstanding the foregoing, WOS may seek injunctive relief in any court of competent jurisdiction.

f.      These Terms do not, and shall not be construed to create any relationship, partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between the parties hereto

g.     No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof.

h.     YOU ACKNOWLEDGE AND AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF, OR RELATED TO, THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

i.      If any provision hereof is adjudged by any court of competent jurisdiction to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect while most nearly adhering to the intent expressed herein.

j.      You may not assign or transfer these Terms (including all rights and obligations hereunder) without our prior written consent and any attempt to do so in violation of the foregoing shall be void. We may assign these Terms without restriction or notification, and (i) no amendment hereof will be binding unless in writing and signed by WOS.
